1. About these terms
These terms govern the use of this website and, unless replaced by a signed contract, the sale of goods by Zatello Cocoa Supply (“Zatello”, “we”, “us”) to a buyer (“you”). Where a signed sales contract exists, that contract prevails over anything on this page.
We sell to businesses. Nothing on this website is an offer to sell to consumers.
2. Website content and pricing
- Prices shown on this website are indicative only. Cocoa is an exchange-traded commodity and prices move daily.
- No price on this website constitutes a binding offer. A binding price arises only in a written quotation issued to you, and remains valid for seven days from issue unless stated otherwise.
- Product specifications are typical values. The binding specification is the one recorded in your contract and the certificate of analysis for the lot supplied.
- Images on this website are illustrative.
3. Orders and contract formation
A contract is formed when we issue a written sales contract or pro-forma invoice and you accept it in writing. Enquiries submitted through this website are requests for a quotation and create no obligation on either side.
4. Payment
- Payment terms are stated in each contract. We accept irrevocable letters of credit and other standard trade instruments.
- Where a deposit is agreed, the balance falls due on the terms recorded in the contract.
- Title in the goods passes to the buyer only on receipt of payment in full. Risk passes according to the agreed Incoterm.
- Bank charges outside our country of origin are for the buyer’s account unless agreed otherwise.
5. Delivery, inspection and claims
Delivery, packaging, documentation, pre-shipment inspection and the claims procedure are set out on our Shipping, Incoterms & Claims page, which forms part of these terms.
6. Compliance
Goods are supplied for use as food or cosmetic raw materials. The buyer is responsible for satisfying itself that the goods meet the regulatory requirements of the destination market, including labelling, contaminant limits and import permits, and for obtaining any import licence required.
Both parties agree to comply with applicable anti-bribery, sanctions and export-control laws.
7. Limitation of liability
Nothing in these terms excludes liability for fraud, for death or personal injury caused by negligence, or for any liability that cannot lawfully be excluded.
Subject to that, our total liability arising out of any contract is limited to the invoice value of the goods giving rise to the claim. We are not liable for indirect or consequential loss, including loss of profit, loss of production or loss of contracts.
8. Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including crop failure, extreme weather, port closure, strike, civil unrest, sanctions, or changes to export licensing.
9. Intellectual property
All content on this website — text, layout, graphics and photography — belongs to Zatello Cocoa Supply or its licensors, and may not be reproduced commercially without written permission.
10. Governing law
These terms and any contract formed under them are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction, unless the contract provides for arbitration.
11. Changes
We may update these terms from time to time. The version in force is the one published on this page at the date your contract is signed.
